2. Eligibility & User Types

The Platform is only available to users who are at least 18 years of age. By using the Platform, you represent and warrant that you meet this age requirement.

• Private Users: Individuals using the platform for personal home projects and non-commercial design visualization.
• Business Users: Professionals using the platform for commercial purposes, client services, or enterprise development. Business users represent and warrant they comply with all applicable laws and professional requirements, and that they have all necessary licenses and client consents to upload third-party data.

3. Payments, Fees & Subscriptions

• Pricing: ModulaTech may update pricing for plans, packages, or services from time to time. Changes will apply prospectively and will not retroactively alter fees already paid for the active term.
• Individual Use Only: Each subscription is for a single user only. Sharing account credentials or allowing multiple individuals to use a single subscription is strictly prohibited and constitutes a material breach of these terms.
• No-Refund Policy: Except where required by applicable law or a separate written agreement, fees are non-refundable once access to the applicable service term has been granted.

4. Account Responsibility & Security

User accountability is paramount. You are responsible for maintaining the confidentiality of your login credentials. Any activity occurring under your account is your sole responsibility, and any actions taken through an account are deemed authorized by the user. You must immediately notify ModulaTech of any unauthorized use of your account or security breach.

5. No Professional Advice & Liability Disclaimer (Critical)

• Visualization Only: The Platform is an AI-powered design aid, not a licensed architectural, engineering, or structural service.
• User Input: You are solely responsible for the accuracy of measurements, scans, and physical inputs provided to the AI. ModulaTech is not liable for construction errors, structural failures, or material mismatches.
• Mandatory Pro Verification: You must verify all AI-generated outputs, measurements, and product specifications with a licensed local professional before ordering materials or starting any structural work.

6. Prohibited Use & Account Termination

You agree not to share account credentials, scrape data or AI models, reverse-engineer the software, or use the Platform to design illegal structures or violate safety codes. We reserve the right to terminate accounts immediately for any prohibited behavior, including attempts to bypass platform security or limits.

7. Marketplace & Third-Party Contractors

ModulaTech serves as a discovery and lead-generation tool only. ModulaTech is not a party to any agreement between users and contractors. We do not supervise, guarantee, or take responsibility for the performance, quality, or legality of work performed by any contractor found via the platform. All contractual disputes must be settled directly between you and the third-party contractor.

8. Intellectual Property & AI Data License

• User Ownership: You retain ownership of uploaded source photos and specific proprietary project data.
• AI Data & Output License: You grant ModulaTech a limited license to host, process, reproduce, and transform project inputs and generated outputs as needed to operate the platform, improve core product performance, support users, and enforce these terms. Public marketing use of customer work requires either prior consent, anonymization, or another lawful basis described in our privacy policy.

9. Indemnification

You agree to indemnify and hold harmless ModulaTech, its affiliates, officers, and employees from any claims, damages, or expenses (including legal fees) arising out of your use of the Platform, your violation of these Terms, or your infringement of any intellectual property or other right of any person or entity. This indemnification obligation specifically extends to cover third-party claims, client disputes, and any copyright issues arising from user-uploaded content.

10. Limitation of Liability

The Platform is provided "as is" and "as available". To the maximum extent permitted by law, ModulaTech disclaims all warranties, express or implied.

ModulaTech shall not be liable for any property damage, personal injury, or any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Platform, even if advised of the possibility of such damages.

11. Force Majeure

ModulaTech shall not be liable for any failure to perform its obligations where such failure results from any cause beyond ModulaTech's reasonable control, including mechanical, electronic, or communications failure or degradation (including "line-noise" interference).

12. Termination & Suspension

We may suspend or terminate your access to the platform at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users or our business interests. Upon termination, your right to use the Platform will immediately cease.

13. Changes to Terms

ModulaTech reserves the right to modify these terms at any time. We will post the updated terms on our website and update the "Last Updated" date. Your continued use of the platform after such changes constitutes acceptance of the new terms.

14. Governing Law & Jurisdiction

These terms are governed by the laws applicable to the ModulaTech entity contracting with you, without regard to conflict-of-law rules, except where mandatory consumer-protection laws provide otherwise. Any dispute arising out of or relating to these terms must be brought in a court of competent jurisdiction for that contracting entity, unless applicable law requires a different forum.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect and enforceable.
